The firm represents international, national, and local businesses and entrepreneurs in matters of corporate law and business transactions. In a wide variety of business and corporate matters, our attorneys counsel architectural firms, law firms, medical practices, real-estate companies, tech firms, wholesale distributors, manufacturers, and retail companies. We handle transactions that concern equity investments in businesses and real-estate ventures.
Kramon & Graham represents local and regional businesses in purchase and sale transactions, 1031 transactions, and non-compete agreements. On behalf of our business and corporate clients, we negotiate and prepare sale documents, post-closing employment agreements, and leases for new business locations.
We have substantial experience representing building and property owners in refinancing and ownership restructuring. Our firm's attorneys facilitate purchasing the landlord's interests in several ground leases, creating the entities to hold title to the properties, and negotiating and closing loans.
We also handle significant corporate planning and business structuring matters for closely held businesses and nonprofit entities.

The Court of Appeals of Maryland issued a decision earlier this month, reversing a Court of Special Appeals opinion in a case relating to lien priorities. The case centered on whether a private utility company’s recorded declarations of future front foot benefit charges create a lien that supersedes later recorded deeds of trust.
